Training Services and User Accounts
A User desiring to register for an ONPOINT training program must complete the registration information and make advance payment for the course prior to the training event date and comply with all training guidelines. For online courses, the User must set up a User account with ONPOINT and make advance payment for the online training course in order to receive access to the training program. ONPOINT shall be under no obligation to provide any full or partial refund of fees paid if User cancels registration or cannot attend the training event. 

Limited Right to Use Training Content The viewing or downloading of any document(s) or content(s) only grants the User a specific and limited, non-exclusive use for the User only while in connection with ONPOINT’s training programs and services. Except as provided for in the preceding sentence, the User may not download, display, copy, reproduce, distribute, modify, perform, transfer, create derivative works from, sell, sublicense, assign or otherwise transfer or exploit any content on ONPOINT’s Website. Governing Law and Dispute Resolution
This Agreement (Terms and Conditions of Use and Privacy Policy) posted at this Website constitute the entire Agreement between the User and ONPOINT with respect to your use of this Website. All disputes arising under this Agreement, regardless of where they are brought, shall be governed by and in accordance with the laws of the State of Florida without regard to conflict of laws principles that would require the application of the laws of any other jurisdiction.
The User agrees that regardless of any law or statue to the contrary, any claim or cause of action arising out of or related to your use of this Website shall be filed within 3 months after such claim or cause of action arose or be forever barred.
The User agrees to submit any dispute with ONPOINT exclusively to final and binding arbitration. The location of any arbitration shall be in Brevard County, Florida. The User agrees that any arbitrator shall not have the authority to award punitive damages and agree to be bound by any ruling in such arbitration proceeding and that such ruling shall be enforceable in any court of competent jurisdiction. The User agrees that if any portion of this Agreement is found by an arbitrator or court of competent jurisdiction to be invalid, the arbitrator or court shall nevertheless give effect to the parties’ intentions expressed herein.
All other provisions of this Terms and Conditions of Use and the Privacy Policy will remain in full force and effect. Any failure by ONPOINT to exercise any rights of to enforce any of the terms of the Terms and Conditions of Use or Privacy Policy shall not constitute a waiver of such rights or terms.
All legal proceedings arising out of this Agreement shall be brought solely in state or federal courts located in the City and County of Melbourne, Brevard County, Florida.  User expressly submits to the exclusive jurisdiction of said courts and consents to extra-territorial service of process.

Termination
ONPOINT may choose to terminate, change, suspend, add to or discontinue any aspect of the Website or the Website's services at any time, and in ONPOINT’s sole discretion, without liability to any User. ONPOINT may also restrict, suspend or terminate a User's use of or access to the Website and/or its services if we believe the User is in breach of or are attempting to breach these terms and conditions or applicable law, or for any other reason without notice or liability, including copyright, intellectual property or trademark infringement.
